These Terms of Service (“Terms”) govern your access to and use of the website located at www.scopeb2b.com (“Site”) and the data services provided by ScopeB2B Solutions (“ScopeB2B”, “we”, “us”, or “our”), a company incorporated and operating under the laws of India, headquartered in Surat, Gujarat.
By accessing the Site, submitting a request, or entering into a service engagement with ScopeB2B, you (“Client”, “you”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
If you do not agree to these Terms, do not use this Site or our services.
1. Services
ScopeB2B provides B2B data intelligence services including, but not limited to:
- Contact discovery and list building
- Data cleaning and enrichment
- Market research and intelligence
- Lead generation
- Custom data mining
- LinkedIn data enrichment
The specific scope, volume, deliverables, timelines, pricing, and acceptance criteria for each engagement are agreed in writing via a Statement of Work, Order Form, or equivalent document (“Engagement Agreement”). In the event of a conflict between these Terms and an Engagement Agreement, the Engagement Agreement governs for that specific engagement.
2. Eligibility and Permitted Use
2.1 Business Use Only
Our Services are intended exclusively for business-to-business (B2B) commercial purposes. You must be at least 18 years of age and acting in a professional capacity on behalf of a legitimate business entity to use our Services.
2.2 Permitted Use
You may use deliverables provided by ScopeB2B solely for lawful business purposes, including sales prospecting, marketing, market research, CRM management, and related commercial activities.
2.3 Prohibited Use
- Sending unsolicited communications in violation of applicable anti-spam laws.
- Engaging in harassment, abuse, or unlawful discrimination.
- Facilitating fraud, identity theft, or criminal activity.
- Violating GDPR, CCPA, PIPEDA, or other privacy regulations.
- Reselling or redistributing deliverables without written consent.
- Building a competing database or data product.
- Processing data inconsistently with its lawful collection basis.
3. Delivery and Acceptance
3.1 Sample Delivery
Where applicable, sample deliveries must be reviewed within the period specified in the Engagement Agreement (default: 5 business days). Failure to respond constitutes acceptance.
3.2 Full Delivery
Deliverables are deemed complete when transmitted via the agreed channel, including email, CRM, or secure file transfer.
3.3 Accuracy Guarantee and Replacement Policy
ScopeB2B commits to the accuracy threshold stated in the Engagement Agreement (default: 98% contact accuracy).
- Replacement requests must be submitted within 30 days.
- Records must clearly identify inaccurate fields.
- Replacement applies to records failing accuracy criteria, not conversion rates.
4. Payment Terms
4.1 Fees
Fees are stated in the applicable Engagement Agreement or invoice and exclude applicable taxes unless otherwise specified.
4.2 Payment Schedule
Unless agreed otherwise, payment terms are Net 15 days from invoice date.
4.3 Late Payment
Late invoices may accrue interest at 1.5% per month or the maximum rate permitted by law.
4.4 Disputed Invoices
Invoice disputes must be submitted in writing within 7 days of receipt.
5. Intellectual Property
5.1 Client Ownership of Deliverables
Upon full payment, Client-specific deliverables become the property of the Client.
5.2 ScopeB2B Proprietary Assets
Methodologies, software, systems, templates, and internal databases remain the exclusive property of ScopeB2B.
5.3 Client Data
Client-supplied data remains the Client’s property and is processed solely for service delivery.
6. Confidentiality
Each party agrees to protect Confidential Information and not disclose it without prior written consent unless required by law.
ScopeB2B is willing to execute a mutual NDA upon request.
7. Data Protection
7.1 B2B Data Processing
ScopeB2B processes B2B contact data under applicable lawful bases, including legitimate interest.
7.2 GDPR and Regional Compliance
We process data in accordance with applicable privacy laws and can provide a Data Processing Agreement (DPA) upon request.
7.3 Opt-Outs and Suppression
Opt-out and do-not-contact requests are honored within 72 hours.
7.4 Client Compliance Obligations
Clients are responsible for ensuring lawful use of delivered data in their outreach activities.
8. Warranties and Representations
8.1 ScopeB2B Warranties
- We have the right to collect, process, and deliver the data.
- Deliverables materially conform to agreed specifications.
- Services are performed with reasonable care and skill.
8.2 Disclaimer
Except as expressly stated, all services and data are provided “AS IS” without warranties of merchantability, fitness for a particular purpose, or guaranteed business outcomes.
9. Limitation of Liability
9.1 Exclusion of Consequential Loss
Neither party shall be liable for indirect, incidental, special, or consequential damages.
9.2 Cap on Liability
ScopeB2B’s total liability shall not exceed fees paid or payable during the three months preceding the claim.
9.3 Essential Basis
The parties acknowledge these limitations represent a reasonable allocation of risk.
10. Indemnification
The Client agrees to indemnify and hold harmless ScopeB2B against claims arising from unlawful use of deliverables or breach of these Terms.
11. Term and Termination
11.1 Term
These Terms remain effective throughout any active engagement.
11.2 Termination for Breach
Either party may terminate for material breach if not cured within 10 business days.
11.3 Effect of Termination
- Outstanding fees become immediately due.
- Future deliverables cease.
- Confidentiality obligations survive for 3 years.
- Surviving provisions remain enforceable.
12. General
12.1 Governing Law
These Terms are governed by the laws of India, with jurisdiction in Surat, Gujarat.
12.2 Entire Agreement
These Terms and any Engagement Agreement constitute the entire agreement between the parties.
12.3 Amendments
ScopeB2B may update these Terms at any time by posting revised versions on this page.
12.4 Waiver
Failure to enforce any provision does not constitute a waiver.
12.5 Severability
If any provision is unenforceable, the remaining provisions remain in effect.
12.6 Assignment
Clients may not assign rights without consent. ScopeB2B may assign rights to affiliates or successors.
12.7 Force Majeure
Neither party is liable for delays caused by circumstances beyond reasonable control.
